Please read these Terms of Service carefully before using Picshoot. By creating an account, installing the Shopify app, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
In these Terms the following words have the meanings set out below:
You must be at least 18 years old and legally capable of entering into binding contracts to use Picshoot. By registering, you represent and warrant that you meet these requirements. If you are registering on behalf of a business entity, you further represent that you have authority to bind that entity to these Terms.
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access to your account.
Each account is for a single merchant, brand, or agency. Creating multiple accounts to circumvent credit limits, free-tier restrictions, or billing obligations is prohibited and may result in immediate termination of all associated accounts without refund.
If you install Picshoot through the Shopify App Store, your use is also governed by Shopify's Terms of Service and the Shopify Partner Program Agreement. In the event of a conflict between these Terms and Shopify's requirements, Shopify's requirements take precedence solely with respect to the App Store distribution and billing relationship.
Subject to your compliance with these Terms and timely payment of applicable fees, Picshoot grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes in connection with fashion and apparel commerce.

All rights not expressly granted in these Terms are reserved by Picshoot. No licence to Picshoot's trademarks, patents, or trade secrets is granted herein.
The Service is designed exclusively for fashion and apparel commerce. Permitted use includes uploading garment photographs, generating AI model photoshoots, creating scene imagery, generating product listings, and publishing those listings to Shopify stores or other e-commerce platforms.
You must not upload, generate, store, or distribute through the Service any Content that:
The AI pipelines are calibrated for fashion and apparel. Using them to generate imagery of individuals in non-clothing contexts, for personal identification, political content, or any purpose unrelated to garment commerce is prohibited.
We reserve the right to remove any Content that violates this Section, to suspend or terminate accounts engaged in prohibited conduct, and to report illegal activity to relevant authorities. We are not obligated to monitor Content proactively but may do so at our sole discretion.
Picshoot is offered on the following monthly subscription plans. All prices are in US dollars and exclude applicable taxes.

Annual billing options may be available at a discount where displayed at checkout. Features available under each plan tier are described in the in-app documentation and at picshoot.app/pricing.
You may upgrade your plan at any time; upgrades take effect immediately with credit allocation adjusted pro-rata for the remainder of the current Billing Cycle. Downgrades take effect at the start of the next Billing Cycle. Downgrading to Free cancels your paid subscription.
For Shopify App Store users, billing is processed exclusively by Shopify's Billing API and is subject to Shopify's billing terms. For users subscribing through the Picshoot website, billing is processed by Paddle, which acts as the merchant of record. Picshoot does not store or have access to your payment card details. By subscribing, you authorise the applicable billing processor to charge the stated fee on a recurring basis until you cancel.
You are responsible for all taxes, levies, or duties imposed on your subscription under applicable law. Where Paddle is the merchant of record, Paddle is responsible for collecting and remitting applicable sales taxes and VAT.
If a scheduled payment fails, we will notify you by email and may suspend your access to paid pipeline features until the outstanding balance is settled. Repeated payment failures after a grace period of 7 days may result in automatic downgrade to the Free plan or account suspension.
Credits are prepaid consumption units deducted each time you run an AI pipeline job. One (1) credit has a reference value of US $0.05. Credits are not currency, have no cash redemption value, and cannot be transferred, gifted, or sold between accounts.
Current credit costs per pipeline and job type are displayed in the interface before you initiate each job. Reference costs as of the date of these Terms are:

Scene generation, zoom, color variants, garment variants, and listing copy may consume additional credits at rates displayed in the interface. We reserve the right to adjust credit costs on 14 days' written notice via email and the in-app notification centre.
Credits reset to zero at the start of each Billing Cycle. Unused credits are forfeited and do not carry forward to the following cycle. There are no exceptions to this reset policy.
Credits are consumed at the moment a pipeline job is dispatched to our AI infrastructure, regardless of whether the generated output meets your creative or quality expectations. Consumed credits are non-refundable. If a job fails due to a verified system error on Picshoot's infrastructure (not a third-party AI provider outage), we will restore the credits consumed by that specific failed job at our sole discretion, typically within 5 business days of a verified report.
When your credit balance reaches zero, pipeline generation endpoints will be blocked until your balance is replenished at the next Billing Cycle reset or by upgrading to a higher plan. You will receive in-app warnings when your balance falls below 20% of your monthly allocation. No automatic overage charges apply — jobs simply do not run when credits are insufficient.
The Free plan includes 50 credits per month provided at Picshoot's discretion. Free plan credits may be modified, suspended, or discontinued with 30 days' notice and without liability.
You may cancel your paid subscription at any time through your account settings or, for Shopify App Store subscribers, through the Shopify admin. Upon cancellation:
Subscription fees are non-refundable except in the following limited circumstances, which are evaluated at Picshoot's sole discretion:
For Shopify App Store subscribers, refund requests are subject to Shopify's billing terms and must be submitted through Shopify support channels. Picshoot has no authority to issue refunds for charges processed by Shopify.
As stated in Section 6.4, credits consumed by AI pipeline jobs are non-refundable under any circumstances, including dissatisfaction with AI output quality, colour accuracy, pattern representation, or generated listing copy quality.
You retain all intellectual property rights you hold in:
By uploading Content to the Service, you grant Picshoot a limited, non-exclusive, worldwide, royalty-free licence to store, process, reproduce, and transmit your Content solely as necessary to provide and improve the Service for your account. This licence terminates when you delete the Content or permanently close your account, subject to our standard data retention obligations.
Picshoot will not use your garment images or AI-generated outputs to train, fine-tune, or improve any shared or publicly available AI model, whether operated by Picshoot or any third party. Your Content is processed exclusively to deliver the Service to your account.
Picshoot and its licensors own all rights in the Service, including its software, design, user interface, prompt engineering methodology, pipeline architecture, brand assets, and documentation. Nothing in these Terms transfers any Picshoot intellectual property to you.
If you submit suggestions, feature requests, or feedback about the Service, you grant Picshoot an unrestricted, irrevocable, royalty-free licence to use that feedback for any purpose without attribution or compensation to you.
You are solely responsible for ensuring that garment images you upload do not infringe any third party's rights, including trademarks on visible branding or logos, copyrights in original fabric prints or surface designs, and rights of publicity or personality. Picshoot bears no liability for Content that infringes third-party rights, and you will indemnify us as described in Section 16.
The copyright status of AI-generated images is subject to ongoing legal developments and varies by jurisdiction. Picshoot makes no representations as to the copyright ownership, registrability, or commercial protectability of AI-generated outputs in any particular territory. You are responsible for independently assessing and complying with the intellectual property laws of the jurisdictions in which you use or publish AI-generated Content.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, processing, and use of your data as described in that policy. We process personal data in compliance with applicable data protection law, including the General Data Protection Regulation (GDPR) where applicable. Data processed through third-party AI providers (Google Gemini, Anthropic Claude) is subject to those providers' respective data processing agreements.
Picshoot is listed on the Shopify App Store and is bound by the Shopify Partner Program Agreement. These Terms are designed to be consistent with that agreement. Where a conflict exists, the Shopify Partner Program Agreement governs with respect to the Shopify relationship.
When you connect your Shopify store, we access store data (products, shop information, metafields) solely to provide the Service — specifically to publish AI-generated product listings to your store on your explicit instruction. We do not access customer personal data, order data, or financial data unless specifically required for a feature you explicitly activate, in which case it will be disclosed in our Privacy Policy.
We respond to Shopify's mandatory GDPR webhooks — customer data request, customer data erasure, and shop data erasure — within the timeframes required by Shopify's partner requirements and applicable law.
If you uninstall the Picshoot app from your Shopify store, your Shopify access token is revoked and we will cease all access to your Shopify store data within 48 hours. Your Picshoot account and stored Content are retained according to the schedule in our Privacy Policy unless you separately request account deletion.
Each party may receive confidential information of the other in connection with the Service. Each party agrees to: (a) keep the other's confidential information strictly confidential; (b) use it only to exercise rights or perform obligations under these Terms; and (c) disclose it only to employees or contractors who need to know it and are bound by equivalent confidentiality obligations. This obligation does not apply to information that: is or becomes publicly known through no breach by the receiving party; is independently developed by the receiving party without reference to the disclosing party's information; or is required to be disclosed by law, court order, or regulatory authority (in which case the receiving party will give prompt notice where permitted and cooperate with any protective order).
We aim to keep the Service available continuously but do not guarantee any specific uptime percentage or service level. The Service may be unavailable due to scheduled maintenance, emergency repairs, third-party provider outages (including Shopify, Google Gemini, Anthropic, Cloudflare R2, or Railway), force majeure events, or other circumstances beyond our control.
We will endeavour to give at least 24 hours' notice of scheduled maintenance expected to cause more than 30 minutes of Service downtime, via in-app notification or email. Emergency maintenance may be performed without prior notice.
Support is available by email at [email protected]. We aim to respond within 2 business days. We do not guarantee any specific resolution time. No dedicated phone support or SLA-backed support is offered under any current plan.
Features labelled "beta," "experimental," or "preview" are provided as-is with no warranties and may be changed, suspended, or removed at any time without notice or liability.
We reserve the right to change subscription fees, plan structures, credit allocations, credit costs per pipeline, and feature availability at any time. For changes to subscription fees or material reductions to plan features, we will provide at least 30 days' advance notice via email to your registered address and via in-app notification before the change takes effect for existing subscribers. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing. If you do not accept a price change, you may cancel your subscription before the effective date and receive the remainder of your current paid period without additional charge.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PICSHOOT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.
Without limiting the foregoing, Picshoot does not warrant that:
You acknowledge that AI-generated outputs are probabilistic in nature and should be reviewed by a qualified human before commercial publication. Picshoot is a tool to assist your creative and commercial workflow — not a substitute for professional judgement.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PICSHOOT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE — IS LIMITED TO THE TOTAL FEES ACTUALLY PAID BY YOU TO PICSHOOT IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
In no event will Picshoot be liable for any:
even if Picshoot has been advised of the possibility of such damages and regardless of the theory of liability. This limitation applies to all claims in the aggregate and regardless of whether any limited remedy fails of its essential purpose.
Some jurisdictions do not permit the exclusion or limitation of certain types of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Picshoot and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
We reserve the right, at our expense, to assume exclusive control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting available defences.
These Terms commence on the date you first create an account and continue in effect until terminated by either party in accordance with this Section.
You may close your account at any time by cancelling your subscription and submitting a deletion request to [email protected]. Cancellation of a paid subscription does not automatically delete your account data; a separate deletion request is required if you wish your data removed.
We may suspend or terminate your access to the Service with immediate effect, with or without prior notice, if:
Upon termination for any reason: your licence to use the Service ends immediately; all unused Credits are forfeited without compensation; your Content will be retained for 90 days during which you may request an export, after which it will be permanently deleted from our systems. Sections 8, 9, 11, 14, 15, 16, 17.4, 18, and 19 survive termination indefinitely.
These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of the Republic of Lebanon, without regard to its conflict of law principles.
Before initiating any formal dispute proceeding, you agree to contact us at [email protected] and allow 30 days for us to attempt good-faith informal resolution. Most billing questions, credit disputes, and product issues can be resolved through this channel.
If a dispute cannot be resolved informally within 30 days, it shall be finally settled by binding international arbitration administered in accordance with the UNCITRAL Arbitration Rules then in force. The seat and legal place of arbitration shall be Beirut, Lebanon. The arbitration shall be conducted in the English language before a sole arbitrator mutually agreed by the parties or, failing agreement within 14 days of a request, appointed by the relevant UNCITRAL appointing authority. The arbitrator's award shall be final, binding, and enforceable in any competent court.
Notwithstanding Section 18.3, either party may seek urgent injunctive, interim, or other equitable relief from any court of competent jurisdiction to prevent irreparable harm pending the constitution of the arbitral tribunal or the conclusion of proceedings. Seeking such relief does not waive the right to arbitration.
All disputes must be brought on a strictly individual basis. You waive any right to bring or participate in any class action, collective proceeding, or representative action against Picshoot, to the fullest extent permitted by applicable law.
Nothing in this Section limits any rights Shopify may have under its App Store terms or that you may have under Shopify's applicable policies and billing dispute procedures.
These Terms, together with the Privacy Policy, Cookie Policy, and any applicable plan confirmation, constitute the entire agreement between you and Picshoot relating to the Service and supersede all prior agreements, representations, warranties, and understandings between the parties on the same subject matter.
We may amend these Terms at any time. For material changes, we will provide at least 14 days' notice via email and in-app notification before the amendment takes effect. The "Last updated" date at the top of this page will reflect the most recent revision. Continued use of the Service after the effective date constitutes acceptance. If you do not accept an amendment, your sole remedy is to stop using the Service and cancel your subscription.
Failure by either party to enforce any provision of these Terms at any time does not constitute a waiver of the right to enforce that provision in the future, nor does a waiver of any specific breach constitute a waiver of any subsequent breach of the same or any other provision.
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, without affecting the validity or enforceability of the remaining provisions.
You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. Any purported assignment without consent is void. Picshoot may assign these Terms in whole or in part to any affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of substantially all of its assets, on written notice to you.
Neither party is liable for any failure or delay in performance to the extent caused by circumstances outside that party's reasonable control, including natural disasters, acts of war or terrorism, civil unrest, government action, internet or telecommunications infrastructure failures, cyberattacks, pandemic, or acts of third-party platforms (including Shopify, Google, Anthropic, or Cloudflare). The affected party must notify the other promptly and use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.
The parties are independent contractors. Nothing in these Terms creates or implies a partnership, joint venture, employment relationship, franchise, or agency between Picshoot and you.
Notices to Picshoot under these Terms must be sent by email to [email protected]. Notices to you will be sent to the email address registered on your account. Notices are deemed received on the next business day after sending, provided no delivery failure notification is received within 24 hours.
These Terms are drafted and executed in English. Any translation is provided for convenience only. The English-language version governs in all cases and in the event of any inconsistency between language versions.
These Terms do not confer any rights on any third party. Only the parties to these Terms may enforce them.
